Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Scrapely website and services (the "Service") operated by Scrapely Inc. ("us", "we", or "our"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
1. Account Eligibility & Security
To use our Service, you must be at least 18 years old and capable of forming a binding contract. When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password and API keys that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You agree not to disclose your password or unique API Identifier to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
2. Acceptable Use Policy
You agree to use Scrapely exclusively for authorized and legal purposes, consistent with all applicable laws and regulations. You represent and warrant that your use of the Service will comply with all applicable laws.
It is strictly prohibited to use the Service for:
- Sending spam or unsolicited messages.
- Brute-force attacks or accessing any websites/resources without authorization.
- Purchasing products or services with stolen credit cards.
- Scraping government websites, banking institutions, or any critical infrastructure.
- Generating fraudulent traffic or clicks (Ad fraud).
- Any activity that violates the rights of others, including copyright or intellectual property infringement.
We reserve the right to immediately suspend or terminate your account without refund if we detect any violation of these rules.
3. Subscriptions, Payments & Refunds
3.1. Payment Processing
We use Stripe as our third-party payment processor. By using our paid services, you agree to Stripe’s Terms of Service. We do not store your full credit card information on our servers.
3.2. Subscriptions
The Service is billed on a subscription basis ("Subscription(s)") or usage basis ("Credits"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis depending on the type of subscription plan you select when purchasing a Subscription.
3.3. Cancellation
You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team. Your cancellation will take effect at the end of the current paid term. You will continue to have access to the Service until the end of your billing period.
3.4. Refund Policy
Except when required by law, paid Subscription fees are non-refundable. Certain refund requests for Subscriptions may be considered by Scrapely on a case-by-case basis and granted at the sole discretion of Scrapely.
If you believe there has been a billing error, please contact support within 7 days of the charge.
4. Intellectual Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Scrapely and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Scrapely.
You agree that you will not modify, copy, reverse engineer, or recreate parts of any of our API clients or internal logic without explicit consent.
5. Proxies and Third-Party Data
Scrapely acts as a facilitator for web requests. If you use your own proxies ("BYOP" - Bring Your Own Proxy), you are solely responsible for their acquisition, legality, and performance. If you use Scrapely's built-in proxy infrastructure, you agree not to abuse the bandwidth or rotation mechanisms provided.
6. Limitation of Liability
In no event shall Scrapely, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.
7. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
8. Indemnification
You agree to defend, indemnify and hold harmless Scrapely and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
